(“EnPower,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.
1. Acceptance of Terms
By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any additional terms, policies, or guidelines referenced herein, including our Privacy Policy. These Terms constitute a binding agreement between you and EnPower. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Changes to These Terms
EnPower may modify these Terms at any time in its sole discretion. We will post the revised Terms on the Site and update the “Last Updated” date above. Your continued use of the Site after any changes become effective constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
3. Eligibility
The Site is intended for users who are at least 18 years of age (or the age of majority in their jurisdiction) and capable of forming a binding contract. By using the Site, you represent and warrant that you meet these requirements.
4. Intellectual Property; Limited License
The Site and all content, materials, features, and functionality available on or through it — including text, graphics, logos, images, video (including facility and product footage), software, and the selection and arrangement thereof (collectively, “Content”) —are owned by EnPower or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, EnPower grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, informational, or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, or otherwise exploit any Content except as expressly permitted herein or with EnPower’s prior written consent.
5. Prohibited Conduct
You agree not to use the Site to, and not to permit any third party to:
- Violate any applicable law, regulation, or these Terms;
- Infringe or misappropriate the intellectual property or other rights of EnPower or any third party;
- Access, tamper with, or use non-public areas of the Site or EnPower’s systems without authorization;
- Introduce viruses, malware, or other harmful code, or attempt to interfere with the proper functioning of the Site;
- Use any robot, scraper, or automated means to access, copy, or collect Content or data from the Site without EnPower’s prior written permission;
- Reverse engineer or attempt to derive source code or underlying technology from the Site;
- Use the Site or any Content to develop, design, or support any competing product or service; or
- Use the Site in any manner that could disable, overburden, or impair it, or interfere with any other party’s use.
6. Export Controls and Compliance
EnPower’s products and technologies may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and, where applicable, the International Traffic in Arms Regulations (ITAR), as well as applicable sanctions and trade restrictions. Information made available on the Site isprovided for general informational purposes and does not constitute the exportor release of controlled technical data. You agree to comply with all applicable export, re-export, and import laws and not to access or use the Site, or request information through it, in violation of such laws, including from any embargoed or restricted jurisdiction or as a restricted party.
7. Third-Party Links and Content
The Site may contain links to third-party websites, services, or resources (including press distribution, social media, and news platforms) that are not owned or controlled by EnPower. EnPower provides these links for convenience only and does not endorse and is not responsible for the content, products, or practices of any third party. Your use of third-party sites is at your own risk and subject to their terms.
8. Informational Content; No Reliance
Content on the Site, including statements regarding EnPower’s technology, products, manufacturing capabilities, partnerships, and plans, is provided for general informational purposes only. Such content may include forward-looking statements that involve risks and uncertainties, and actual results may differ materially. Nothing on the Site constitutes an offer to sell or a solicitation of an offer to buy any securities, products, or services, or any investment, legal, or technical advice. 9. User Submissions and Feedback
If you submit any inquiry, comment, suggestion, or other information to EnPower through the Site (“Submissions”), you grant EnPower a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, and exploit such Submissions for any lawful business purpose without obligation or compensation to you. You represent that you have the right to provide any Submission and that it does not violate any third-party rights. Do not submit confidential or proprietary information through the Site that you do not wish to be treated in accordance with this section.
10. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ENPOWER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ENPOWER DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ENPOWER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ENPOWER’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless EnPower and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
14. Termination
EnPower may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. The provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Miscellaneous
These Terms, together with any documents expressly incorporated by reference, constitute the entire agreement between you and EnPower regarding the Site. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. EnPower’s failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without EnPower’s prior written consent; EnPower may assign them freely. Headings are for convenience only.
